Agreement for Listing and Selling Artwork on www.muniqueArts.com
This Agreement is made and entered into between the Artist with specifics as filled in the attached form above by and
**www.muniquearts.com** or, **through its official registration as a company, or via its contributors, directors, share holders, employees, partners** (hereinafter referred to as "Platform"), operated by its owners, shareholders, and operators, and
**The Artist's Full Name as mentioned in the form above** (hereinafter referred to as "Artist").
**WHEREAS**, the Platform provides a venue for artists to list and sell their artwork;
**WHEREAS**, the Artist desires to list and sell artwork on the Platform under the terms and conditions set forth herein;
**NOW, THEREFORE**, in consideration of the mutual covenants contained herein, the parties hereto agree as follows:
1. **Authority to Sell**:
a. The Artist represents and warrants that the platform has full rights and authority to list and sell their submitted artwork on the Platform.
b. The Artist acknowledges that they have no objections to any markup fee, commission, or other earnings made by the owners, shareholders, or operators of the Platform in relation to transactions, commercial activities, advertising, marketing, or any related activities directly or indirectly affecting the artwork listed or showcased on the Platform.
2. **Exclusivity**:
a. The Artist agrees that the artwork listed on the Platform shall be sold exclusively through the Platform.
b. Any direct sale of the artwork outside the Platform, which violates this exclusivity clause, shall result in immediate expulsion of the Artist from the Platform and may incur a penalty amount deemed reasonable by the owners, shareholders, or operators of the Platform.
3. **Liability**:
a. The Artist bears full liability for the originality and authenticity of any and all artwork published directly or indirectly on the Platform by the Artist or their representative.
b. The Artist shall be responsible for any legal claims or disputes arising from the artwork listed on the Platform.
4. **Electronic Communication and Transactions**:
a. All submissions to the Platform by the Artist shall be made through electronic communication only.
b. All payments for artwork sales shall be conducted via electronic transactions.
5. **Data Submission**:
a. The Artist consents to the sharing of their personal data, commercial data, and artwork information submitted to the Platform.
b. The Artist acknowledges that such data is shared voluntarily and they have no objections or claims against the directors, shareholders, or operators of the Platform regarding the use of this data.
6. *Fees*:
a. The Platform will deduct 10% from the payment amount received and further send the balance 90% Payment to the Artist.
This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra, India.
